1. Introduction

These Terms and Conditions (“Agreement”) govern the sale of products and services (“Products”) by Vexo Electronics (“we,” “us,” or “our”) to you (“Customer” or “you”). By placing an order, you agree to be bound by these terms.

2. Orders and Acceptance

  • Order Confirmation: An order confirmation email does not constitute our acceptance of your order. We reserve the right to refuse or cancel any order for any reason, including errors in pricing or availability.

  • Accuracy: You represent that the information provided in your order is accurate and complete.

3. Pricing and Payment

  • Prices: All prices are subject to change without notice. Quotations are valid for 30 days unless otherwise specified.

  • Payment: Payment must be received in full before the shipment of goods, unless a credit agreement has been established in writing.

  • Taxes: Prices do not include applicable taxes, shipping, or insurance fees, which are the responsibility of the Customer.

4. Shipping and Risk of Loss

  • Delivery: Delivery dates are estimates only. We are not liable for delays in shipment.

  • Risk of Loss: Title and risk of loss pass to the Customer upon delivery of the Products to the carrier at our facility.

5. Inspection and Returns

  • Inspection: You must notify Vexo Electronics in writing of any damage, shortages, or discrepancies within 10 days of receipt. Failure to do so constitutes acceptance of the goods.

  • Returns: Products must be returned in their original packaging. Restocking fees may apply to non-defective returns.

6. Warranty and Limitation of Liability

  • Disclaimer: Products are provided “AS IS” and “AS AVAILABLE” except where a manufacturer’s warranty is explicitly provided. We disclaim all other warranties, express or implied, including fitness for a particular purpose.

  • Limitation: Vexo Electronics shall not be liable for any indirect, special, incidental, or consequential damages (including loss of profits, data, or business interruption). Our total liability for any claim shall not exceed the purchase price of the specific product at issue.

7. Intellectual Property

All content, branding, logos, and technical documentation provided by Vexo Electronics are our exclusive property and may not be reproduced or shared without written consent.

8. Prohibited Uses

Products are not authorized for use in critical safety, medical, or life-support applications where failure could result in injury or death. If you use or sell our products for such applications, you do so at your own risk and agree to indemnify and hold Vexo Electronics harmless.

9. Governing Law
